1. Introduction

These Terms of Service (“Terms”) govern your use of:

• the Viva Riva website

• the Viva Riva Purchase Model

• the Viva Riva Operated Model

• all machines, products, refills, services, and support provided under the brand Viva Riva

Viva Riva is operated by Van Rossum Lda, a legally registered company in Portugal.

By accessing our website or purchasing/operating a vending machine, you agree to these Terms.

2. Definitions

“Viva Riva” – the brand operated by Van Rossum Lda.
“Van Rossum Lda” – the legal company providing the machines and services.
“Client”, “You”, “Property” – any hotel, resort, condominium, serviced apartment, hostel, airport, gym, spa, or business using our products or services.
“Machine” – any Viva Riva vending machine purchased or operated.
“Operated Model” – the model where Viva Riva supplies curated products, monitors stock, and provides weekly refills.
“Purchase Model” – the model where the client purchases the machine and supplies their own products.

3. Eligibility

To use our services or purchase a machine, the client must:

• be 18 years or older

• represent a legitimate business or property

• provide accurate information

• agree to these Terms

4. Quotes & Orders

All quotes provided by Viva Riva / Van Rossum Lda are:

• non-binding until payment or deposit is received

• based on current product availability

• valid only for the period stated in the quote

Orders are confirmed once payment or deposit is completed.

5. Payment Terms

Purchase Model

• Full payment must be received before production or shipment.

• Custom wraps require full prepayment.

Operated Model

• A deposit is required per machine.

• Monthly revenue share invoices must be paid within agreed terms.

• Late or missing payments may result in suspension of service.

6. Delivery & Installation

Delivery timelines depend on:

• machine stock

• customization and wrap production

• shipping conditions

Viva Riva / Van Rossum Lda is not responsible for delays caused by shipping carriers, customs, strikes, or other events outside our control.

Clients must ensure:

• easy access to installation areas

• appropriate electricity connections

• safe delivery pathways

7. Machine Ownership

Purchase Model

Ownership transfers to the client upon full payment.
All product liability and machine misuse after installation is the responsibility of the client.

Operated Model

Machines remain property of Van Rossum Lda.
Clients are responsible for:

• basic care

• cleanliness

• preventing misuse, damage, or vandalism

Damage may be deducted from the deposit.

8. Stocking Responsibilities

Purchase Model

Clients provide and manage their own products.
Clients are responsible for product safety, expiration dates, and legal compliance.

Operated Model

Viva Riva provides curated products and weekly refill packs.
Clients agree to:

• use the refill packs as sent

• not mix unauthorized products without approval

9. Refunds & Cancellation

Purchase Model

Machines are custom-produced and therefore non-refundable.
Warranty covers mechanical defects only.

Operated Model

Deposits are refundable when machines are returned in good condition.
A 30-day written notice is required for cancellation.

10. Warranty

All Viva Riva machines include a manufacturer-backed warranty for:

• mechanical defects

• electrical defects

• internal system malfunctions

Warranty does not cover:

• user damage

• water exposure (except outdoor models)

• vandalism or theft

• third-party repairs

• power surges

11. Maintenance & Support

Van Rossum Lda provides:

• email support

• remote troubleshooting

• operational guidance

On-site repairs may incur additional fees unless covered by warranty.

12. Acceptable Use

Clients may not use the machine to sell:

• illegal items

• unsafe or expired goods

• counterfeit products

• flammable or dangerous items

Misuse may result in service termination.

13. Liability

Viva Riva / Van Rossum Lda is not liable for:

• lost revenue

• guest misuse

• theft or vandalism

• damage caused by incorrect installation by third parties

• delays caused by external suppliers or shipping carriers

Liability is limited to the value of the machine or deposit.

14. Data & Privacy

Viva Riva may collect operational data to:

• monitor stock

• optimize refill packs

• improve service performance

All data is handled under our Privacy Policy.

15. Termination

Either party may terminate:

• with 30 days’ notice (Operated Model)

• immediately in case of breach of Terms

After termination:

• machines must be returned (Operated Model)

• unpaid invoices must be settled

• deposits are processed within 14 days

16. Governing Law

These Terms are governed by Portuguese law.
Any dispute will be resolved under the jurisdiction of Portuguese courts.
